Application for Certification and Registration of a Professional Business in the Practice of Medicine

Please read the instructions below carefully before starting.

    • All applications are to be started and paid for online.
    • The online portion should take between 5 and 10 minutes to complete. If you do not complete it in one session, your data will not be saved.
    • Only Visa, Discover, American Express and MasterCard are accepted as payment of the $50.00 application fee.
    • You must complete and email the required documents to the NC Medical Board at corp.application@ncmedboard.org.
    • Do not attempt to file any documents with the Secretary of State until after you receive approval and Certificates from NCMB.

Professional Corporation: be prepared to enter the following:

  1. From the NCMB’s Certificate of Incorporation.
    a) Incorporated in North Carolina, Domestic PC-01
    b) Incorporated out of state Foreign PC-01
  2. From the one applicable form below obtained from the Secretary of State, the name of the corporation and the registered agent.
    • Articles of Incorporation for a Professional Corporation (use only if you are creating a new professional corporation)
    • Application for Certificate of Authority Foreign Professional Corporation (use only if the business was originally incorporated in another state)
    • Articles of Conversion to a Professional Corporation (use only if you are converting a NC business corporation to a professional corporation)
  3. The mailing address, phone numbers, and email address for all future communications from NCMB concerning the new corporation.

Professional Limited Liability Company: be prepared to enter the following:

  1. From the NCBM's Cerficiate of Organizing Members the names of all members.
    a) Organized in North Carolina, Domestic PLLC-01
    b) Organized out of state Foriegn PLLC-01
  2. From the one applicable form below obtained from the Secretary of State, the name of the PLLC and the registered agent
    • Articles of Organization for a Professional Limited Liability Company (use only if you are creating a new professional LLC)
    • Articles of Conversion to a Professional Limited Liability Company (use only if you are converting a NC business LLC to a professional LLC)
    • Application for Certificate of Authority Foreign Professional Limited Liability Company (use only if the business was originally incorporated in another state)
  3. The mailing address, phone numbers, and email address for all future communications from NCMB concerning the new corporation.

After completing the online portion of your application, email your application documents to the NC Medical Board at corp.application@ncmedboard.org .

After receiving your packet, the Board will determine whether the business meets all statutory requirements for a professional corporation or professional limited liability company established to practice medicine in North Carolina. Upon approval, the NCMB will email the approved Articles and NCMB Certificates to you. Then you will be able to submit an electronic Creation Filing with the NC Secretary of State.

Creation Filing with NC Secretary of State ("S.O.S.") is to be completed within four months of the NCMB Certificate issued date by sending your original Articles, NCMB Certificate, and required S.O.S. fee to the NC S.O.S.

Unfiled certificates expire after four months. NCMB verifies with NC S.O.S. that your business has submitted a Creation Filing within four months of certification. If certification expires, reapplication will be required before filing with the S.O.S.


Please Note:

Professional businesses registered with NCMB are required to maintain with the Corporations Department up to date information concerning address, registered agent, shareholder or member changes, acquisitions, mergers, and closings/dissolutions. For your convenience the Board provides a "Handbook for Professional Corporations and Professional Limited Liability Companies," which outlines the procedures for maintenance of registration as a Professional Corporation or Professional Limited Liability Company.

All NCMB professional businesses are required to renew their registration annually. The registration expiration date is found on the registration certificate. Failure to renew your registration will be cause for suspension under State Statute NCGS 55B-13.
